Ask the Experts

Start thinking of penetrating questions to query the “Ask the Experts” panel. This is your chance to grill receivership experts from around the state with the tough questions you’ve always wanted to ask. Alan Mirman, who regularly represents receivers and lenders seeking appointment of receivers, will moderate as you put the panelists on the spot. Steve Donell has broad experience in various types of state and federal receivership cases. Bob Greeley has operated a wide range of northern California businesses. His practice includes turnaround consulting, ABC’s, out of court dispute resolution, sales and liquidations of businesses ranging from agriculture-related to manufacturing and retail. Terri Riker is a commercial real estate portfolio/asset manager who has handled a range of substandard to high-end rents & profits receivership properties in Southern California counties, as well as outside the region.

Ask about unique case points, geographical differences, how to work through sticky deal points, ask one expert to expand on another expert’s comments, seek “outside the box” advice from these seasoned receivers who are ready to be put on the spot.

Loyola VI: Not to Be Missed

The upcoming Loyola VI conference on January 23 – 24, 2015, in Orange County is shaping up to be extremely educational. The content and variety of the panel discussions covers the waterfront and will provide valuable information to even the most experienced receiver. Bankruptcy is the most prevalent procedure for dealing with a distressed business. Insolvency professionals must evaluate and explore receiverships and assignments for the benefit of creditors as potential alternatives to a restructuring or the sale of substantially all assets in a bankruptcy proceeding. This panel will offer their experiences, perspectives and key factors in determining which procedure should be pursued, with a practical overview of each procedure.

The Toxic Takeover: Strategies For The Receiver With A Real Mess On His/Her Hands
Some operating receivers may step into environmentally challenged businesses by design, while others may find surprises waiting after their appointment. Either way, the receiver needs to know how to assess environmental problems, understand the liabilities associated, and develop a strategy to mitigate problems with minimal downside. This panel will explore this environmental predicament from a variety of perspectives and address practical strategies for moving past the mess.

This panel will explore and debate the related, but often overlooked, issue of a receiver’s ability to sell personal property, or even whole business, free and clear of liens and answer the question: Does it matter what type of property the receiver is selling?

Intellectual Property Issues in Business Receiverships
Intellectual property issues are central to businesses that run the gamut from high tech startups to entertainment companies to hospitality franchises. Learn about the key issues and stumbling blocks that arise when receivers assume control of IP-dependent enterprises.

A View From Special Asset Management
Receiverships are not “one size fits all”, especially when it comes to a lender’s approach to business receiverships of underperforming loans. Learn how major and middle markets special assets managers are approaching these receiverships, and how they envision economic and regulatory pressures will affect their decisions going forward.

Labor and Employment Issues For Receivers Administering Operating Businesses
Federal and California labor and employment laws designed to protect employees when businesses liquidate can create complex priority and liability issues for affiliates, insiders, lenders and receivers. This panel will address how to navigate this labyrinth of state and federal mandates.

A complex fraud case requires cooperation, coordination, and communication among the various players. A regulatory receiver must engage on the same playing field with the defrauded victims, the applicable regulatory agency, the lawyers organizing class actions, the press, and most importantly, the judge supervising the case. This panel will discuss the dynamic and unique issues that arise in the context of a complex commercial fraud case.
